Terms of Service
Terms of Service
These terms apply to the use of Circuit Reply, a WhatsApp pricing automation service provided by Ethercircuit Solutions.
Last updated: 4 June 2026
1. The Service
Circuit Reply helps businesses respond to WhatsApp pricing enquiries using approved products, services, prices, aliases, FAQs, and business-controlled responses.
Circuit Reply is not a generic chatbot, customer support replacement, CRM, ERP, accounting system, invoicing platform, or legal/commercial adviser. It is a focused operational tool for WhatsApp pricing automation.
2. Eligibility and Accounts
You must be authorized to act for the business using Circuit Reply. You are responsible for keeping account access, admin users, passwords, WhatsApp/Meta access, and business information secure and up to date.
3. Client Responsibilities
You are responsible for:
- Providing accurate and approved product, service, price, FAQ, alias, and response data.
- Reviewing and approving automated response wording before go-live.
- Keeping pricing, availability, business hours, and support information current.
- Monitoring responses and promptly reporting incorrect matches, outdated pricing, or support issues.
- Complying with applicable laws, customer communication rules, data protection obligations, and Meta/WhatsApp policies.
- Obtaining any customer consents or notices required for your use of WhatsApp messaging and automation.
4. WhatsApp and Meta Requirements
Circuit Reply may depend on WhatsApp Business, Meta Business Platform, or approved messaging providers. Your use of Circuit Reply must comply with all applicable Meta and WhatsApp terms, policies, message rules, commerce rules, templates, quality requirements, and account requirements.
WhatsApp, Meta, or messaging provider changes, outages, restrictions, account reviews, pricing changes, or policy decisions may affect service availability or functionality.
5. Approved Pricing and Response Limits
Circuit Reply replies based on configured and approved business data. It may ask for clarification, use an approved fallback response, or leave a conversation for human follow-up when it cannot confidently match a message.
You remain responsible for final pricing accuracy, quotes, stock availability, warranties, refunds, customer disputes, and any commitments made to customers.
6. Fees, Plans, and Usage Limits
Fees, setup charges, plan limits, included usage, support scope, and billing terms are confirmed in the applicable proposal, order form, invoice, or written agreement.
Plans may include limits for products, aliases, FAQs, monthly auto-replies, users, tenants, branches, support, or other features. If limits are reached, features may be restricted until the plan is adjusted.
WhatsApp, Meta, messaging provider, hosting, integration, banking, payment, or third-party charges may apply separately.
7. Support and Onboarding
Standard support covers reasonable setup guidance, onboarding assistance, readiness checks, diagnostics review, and troubleshooting for agreed Circuit Reply functionality.
Unless separately agreed, support does not include unlimited catalog maintenance, unmanaged price changes, custom integrations, unrelated WhatsApp account issues, third-party platform outages, or bespoke development.
8. Acceptable Use
You must not use Circuit Reply to:
- Send unlawful, misleading, abusive, spam, or unauthorized messages.
- Violate Meta, WhatsApp, or messaging provider policies.
- Upload illegal, infringing, harmful, or deceptive content.
- Attempt to bypass usage limits, security controls, tenant isolation, or access restrictions.
- Interfere with the service, other tenants, or platform infrastructure.
9. Suspension or Termination
We may suspend or restrict access if there is non-payment, security risk, suspected abuse, unlawful use, policy violation, platform requirement, or material breach of these terms.
When a tenant is suspended, Circuit Reply may continue logging inbound activity while blocking outbound automated replies, depending on configuration and operational requirements.
10. Intellectual Property
Ethercircuit Solutions owns Circuit Reply, including the software, product design, workflows, documentation, and service materials. Clients retain ownership of their own business data, catalog data, approved pricing, customer data, and content provided to the service.
11. Disclaimers and Liability
Circuit Reply is provided as a business automation service and depends on client data quality, WhatsApp/Meta infrastructure, internet connectivity, and third-party services. We do not guarantee uninterrupted service, perfect matching, or that every customer message will receive an automated response.
To the maximum extent allowed by law, Ethercircuit Solutions is not liable for indirect, consequential, special, or lost-profit damages arising from use of the service.
12. Changes to These Terms
We may update these terms from time to time. The updated version will be posted on this page with a revised date. Continued use of Circuit Reply after updates means you accept the revised terms.
